General Terms and Conditions of Use of the Website

Article 1. Purpose

These General Terms and Conditions of Use (hereinafter "General Terms and Conditions of Use") set out the rights and obligations of La Rosée Cosmétiques Canada Inc, a joint-stock company legally incorporated under the Business Corporations Act, whose registered office is located at 400 Laurier Ouest, Suite 600, Montreal, Quebec H2V 2K7, Canada, registered with the Registraire des Entreprises du Québec under number (NEQ) 1180153976 (hereinafter "La Rosée", "we", "our") and any user of the website (hereinafter the "User", "you") at the following address:  https://www.larosee-cosmetiques.ca/ (or any other address replacing or referring to it, hereinafter the "Website").

This Website is published by La Rosée. As a User of the Website, you undertake to comply with these General Terms and Conditions of Use.

The terms used in capital letters in these General Terms and Conditions of Use and not defined below shall have the meaning given in the General Terms and Conditions of Sale.

Article 2. Definitions

The purpose of this clause is to define the essential terms of the General Terms and Conditions of Use:

“General Terms and Conditions of Use”: has the meaning defined in Article 1;

“General Terms and Conditions of Sale”: means the general conditions of sale of La Rosée accessible at the following link.

“Content”: has the meaning defined in Article 6;

“Personal Space": means the personal space opened free of charge on behalf of the User when registering on the Website, allowing the User to access the features described below in Article 7;

“Website”: has the meaning given in Article 1;

“User”: has the meaning given in Article 1;

Article 3. Access to the website

Access and use of the Website are reserved for any adult or any person with parental authorisation. Access to the Website is free of charge. The Website is accessible to any User with internet access. All costs relating to access to the Website remain the responsibility of the User.

Article 5. Online review posting

The Website allows any User to publish reviews of La Rosée Products, but also to download photos (hereinafter together the "Content").

By posting Content on our Website, you represent and warrant that:

  • The Content complies with the General Terms and Conditions of Use;
  • You are the author of this Content and that you do not act under false pretences or under the identity of a third party,
  • Your Content is an original work and does not infringe the intellectual property rights of a third party and the provisions relating to intellectual property described in Article 12 below;
  • Your Content is accurate and truthful;
  • Your Content does not contravene applicable laws and regulations and that it does not contain any hateful, discriminatory, racist, pornographic, political, or similar language.

La Rosée reserves the right, in its sole discretion, to modify, refuse, correct or delete any Content that La Rosée considers to be in breach of these General Terms and Conditions of Use, under the conditions provided for in Article 12.

Article 6. Personal space

If you wish to open a Personal Space, you must register by providing Your Personal Data using the registration form. The Privacy Policy available here describes the collection carried out.

In case of lost or forgotten password to access your Personal Space, you can reset your login password at any time by clicking on the "Forgot your password?" and following the reset instructions communicated by La Rosée.

Any Personal Space is strictly personal and non-transferable. You undertake to create and/or use only one Personal Space. The creation of a Personal Space under the identity of a third party or under a false identity is formally prohibited and is likely to lead to the immediate suspension or deletion of your Personal Space.

The use of your Personal Space remains under your sole responsibility.

Once your Personal Space has been created, you can:

  • View the history of your Orders;
  • Place an order for Products;
  • Manage your Personal Space (if applicable).

Article 7. Obligations of the User

All costs necessary to access the Website (computer hardware, software, Internet connection, etc.) are and remain borne by the User. As a User, you declare that you are fully aware of the characteristics of the Internet and the constraints related to its use, in particular the impossibility for La Rosée to guarantee the integrity and confidentiality of all data transiting through it.

You agree to comply with all the operating rules of the Website and your Personal Space and more particularly with these General Terms and Conditions of Use.

Moreover, you undertake:

  • Not to disclose or disseminate Content likely to harm the image of La Rosée and / or any third party, and / or not in accordance with the legal and regulatory provisions in force;
  • Not to use computer programmes likely to disrupt, interrupt, destroy in whole or in part the Website.

You agree not to infringe our intellectual property rights, those of another User or a third party, not to disseminate any information of a confidential nature or the dissemination of which would constitute the violation of a contractual commitment vis-à-vis La Rosée, another User or a third party.

You waive any recourse against us in the context of proceedings brought by a third party, or another User, as a result of the publication of any comment or Content, or as a result of any breach of the obligations arising hereunder.

You acknowledge that it is prohibited to take any action likely to interrupt the operation of the Website, restrict its availability or prevent its continuity. Any intrusion, or attempted intrusion, within the Website, misappropriation of data, breach of the security and authentication measures of the Website, entitle La Rosée to initiate legal proceedings against you.

You acknowledge that you use the data generated by the Website under your full responsibility.

Article 8. Liability

La Rosée is only bound by an obligation of means for the provision of the Website and the services offered there.

La Rosée cannot be held liable:

  • In the event of failure, breakdown, difficulty, unavailability or interruption of operation, preventing access to the Website or any of its features;
  • If you do not comply with the terms and conditions of use of the Website and/or the General Terms and Conditions of Sale of La Rosée;
  • If you make abnormal use of your Personal Space.

You declare that you are aware that the operation of the Website is based in part on information and Personal Data that you provide to La Rosée. Consequently, La Rosée may not be held liable in any circumstances in the event that the information and Personal Data you provide to La Rosée is incomplete, out of date or incorrect.

La Rosée shall under no circumstances be required to compensate any indirect damage that you may suffer in connection with the use of the Website and/or your Personal Space, and more broadly, any damage that does not result exclusively and directly from a fault or negligence on the part of La Rosée.

Any serious breach by you of any of its commitments under these General Terms and Conditions of Use, not remedied within fifteen (15) days from receipt of a registered letter with acknowledgement of receipt or an email with acknowledgement of receipt from La Rosée, entitles La Rosée to suspend your Personal Space and / or ban your access to the Website, without prejudice to any other damages to which La Rosée may be entitled. The letter or email will specify the facts complained of. In the event of a manifestly unlawful disturbance or infringement, the time limit for remedying the breach may be shorter.

Article 9. Modifications of the terms of use

These General Terms and Conditions of Use may be modified at any time, in particular according to legislative and/or regulatory changes.

Unless the modification implies your express acceptance, the fact that you continue to use the Website implies acceptance of the General Terms and Conditions of Use.

Article 10. Intellectual Property

The Website and the functionalities offered therein are the full property of La Rosée, including the intellectual property rights relating thereto, subject to the rights of third parties. Unless otherwise stated, La Rosée is the owner, or has the related exploitation rights, of all trademarks and logos as well as all intellectual property rights relating to all elements, texts, graphics, videos, animations, used and / or available on the Website.

La Rosée indirectly grants any user of the Website a limited, personal, non-transferable and non-exclusive license to use the Website under the conditions set out opposite. Any other use is expressly excluded.

The content made available on the Website may only be used in this context, without the right of use, reproduction and / or distribution on a commercial basis, and under the sole responsibility of the user of the Website.

You declare that you are the author of the Content that you publish on the Website or hold the rights allowing you to publish it.

Consequently, you grant La Rosée a non-exclusive, transferable, sub-licensable right of exploitation, free of charge, on all the Content, as and when it is published on the Website as well as a free licence, without geographical limitation, on all the intellectual property rights relating thereto.

All the economic rights of the intellectual property on the Content granted to La Rosée include the right for La Rosée to reproduce, represent, disseminate, adapt, modify, use, translate, all or part of the Content in all countries, by all processes and means, both current and future, in any form whatsoever and on all media, including digital, known or unknown, foreseeable or unpredictable on the date hereof, in all languages, in all formats, known or unknown to date, as part of the services offered by the Website or in connection with the activity of La Rosée, for all purposes including commercial purposes.

This license is granted and accepted for the whole world for a term of fifty (50) years.

You hold La Rosée harmless against any lawsuit, claim, demand or dispossession of any kind, on the part of a third party or another User, invoking an intellectual or industrial property right which the Content would infringe, or an act of unfair and / or parasitic competition. Consequently, you undertake to be personally responsible for any claim and / or procedure, made against La Rosée and which relates directly or indirectly to the Content, subject of this licence. To this end, you undertake to intervene voluntarily, if necessary, in all proceedings brought against La Rosée on this basis.

Article 11. Hyperlinks

The establishment by the User of any hyperlinks to all or part of the Website is strictly prohibited, without the prior written consent of La Rosée, requested by email at the following address:   contact@larosee-cosmetiques.ca  

La Rosée is free to refuse this authorisation without having to justify its decision in any way. In the event that La Rosée grants its authorisation, it is in any case only temporary and may be withdrawn at any time, without any obligation of justification on the part of La Rosée.

La Rosée may insert hyperlinks to third party websites on the Website.

La Rosée shall not be held liable for the operation and content of these third-party websites, and for any damage that may be suffered by any User during a visit to said websites.

These third-party websites may also contain hyperlinks to the Website.

Article 12. Website management

For the proper management of the Website, La Rosée reserves the right to:

  • Suspend, interrupt or limit access to the Website, or certain parts of the Website;
  • Delete any information that may disrupt its operation or contravene national or international laws;
  • Suspend the Website in order to make updates;
  • Modify, at any time and without prior notice, the content of the Website.

Article 15. Applicable law and jurisdiction

These General Terms and Conditions of Use are governed and interpreted in accordance with the applicable laws in force in the province of Quebec, including the laws of Canada applicable there.

Any dispute relating to the interpretation, execution or validity of these terms and conditions will be subject to the jurisdiction of the courts of the province of Quebec, in the judicial district where the User's domicile is located.

For Users domiciled outside Quebec, Quebec law remains applicable to the contract, subject to the mandatory provisions of the legislation of their place of residence. The competent courts will then be those of their place of residence.
